These Terms of Service are a contract between you and PactChat. (referred to in these Terms of Service as "Pact", "us", "we" or "our"), the provider of the Pact website and the services accessible from the Pact website (which are collectively referred to in these Terms of Service as the "Pact Service").

You are agreeing to be bound by these Terms of Service. If you do not agree to these Terms of Service, do not use the Pact Service. In these Terms of Service, "you" refers to both you as an individual and the entity you represent. If you violate any of these Terms of Service, we reserve the right to terminate your account or block access to your account without prior notice.

A valid credit card is required for paid accounts unless your company pays for services annually, in which case payment via invoice is acceptable. Free accounts do not need to provide a credit card number.

Pact Service is billed in advance according to our fee schedule. If you are not satisfied with the Pact Service for any reason and choose to downgrade or cancel, we will refund up to two months of charges to your account. There will be no refunds or credits for partial months of service, annual payments, or refunds for unused months with an open account. So that everyone is treated equally, no exceptions will be made.

All fees exclude all taxes, duties or fees imposed by the taxing authorities, and you will be responsible for paying all such taxes, duties or fees, excluding only United States (federal or state) income taxes. You agree to pay all taxes that may be applicable to your use of the Pact Service or payments made by you in connection with your use of the Pact Service.

The right to investigate and prosecute violations of any of these Terms of Service to the fullest extent of the law. We may involve and cooperate with law enforcement authorities to prosecute users who violate the Terms of Service. You acknowledge that Pact has no obligation to pre-screen or monitor your access to or use of the Pact Service or any information, materials or other content provided or made available through the Pact Service, but has the right to do so. You agree that Pact may, in its sole discretion, remove or delete any data, accounts or other content that violates these Terms of Service or is otherwise objectionable.

Você é o único responsável pelo cancelamento adequado de sua conta. Como medida de segurança, uma solicitação por e-mail ou telefone para cancelar ou fazer alterações em sua conta não resultará em cancelamento. Você pode cancelar sua conta a qualquer momento na página "Your Plan" (Seu plano). Faremos esforços comerciais razoáveis para excluir suas informações o mais rápido possível depois que você nos comunicar essa intenção.

Os cancelamentos entrarão em vigor imediatamente. Se desejar continuar a usar sua conta até o final de um ciclo de faturamento, não cancele até que o ciclo de faturamento seja concluído.

Pact reserves the right to terminate any free accounts that have no activity (responses or logins) for sixty (60) days or trial accounts without a payment method thirty (30) days after expiration.

Pact, in its sole discretion, has the right to suspend or terminate your account if you violate these Terms of Service. Any termination of your account will result in deactivation or deletion of your account, denial of access to your account, and removal of all content from your account.

We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Pact Service (or any part thereof) with or without notice. However, we will use our best efforts to notify customers of any future system maintenance and/or service interruptions. Prices for all Pact Service plans are subject to change. If Pact for any reason has to remove the plan you are on or require an upgrade to a current plan, we will provide you with at least three (3) months' notice by email.

We will not be liable to you or any third party for any modification, price change, suspension or discontinuance of the Pact Service.

We reserve the right, in our sole discretion, to change, modify, add, supplement or delete any part of these Terms of Service at any time, with or without notice; provided, however, that we will use reasonable efforts to notify you of any material changes (as determined in our sole discretion) by email.

If any future changes to these Terms of Service are unacceptable to you or cause you to no longer comply, you must immediately discontinue use of the Pact Service. Your continued use of the Pact Service after any revision to this Agreement constitutes your full acceptance of any and all changes. Any new features that augment or enhance the current Pact Service, including the release of new tools and resources, shall be subject to these Terms of Service.

We claim no ownership rights in the content submitted or created solely by you in your Pact Service account. Any content that is yours remains yours. These Terms of Service do not grant us any license or rights in your content, except for the limited rights necessary for us to provide the Pact Service to you.

Pact and the Pact logos are trademarks of Pact and may not be used without our express written permission. You may not duplicate, copy or reuse any portion of the HTML/CSS or visual design elements without express written permission. You do not acquire any ownership rights by using the Pact Service.

In some cases, it is necessary for Pact staff to access your account and its contents to diagnose an issue. By contacting our support team, it is implied that you are allowing Pact staff access to your account, if necessary, to be of assistance. If you wish to receive assistance without granting permission to your account, please specify this in your communication with our support team, and such requests will be honored to the extent possible.

You agree to indemnify and hold Pact, its parents, subsidiaries, affiliates, directors, partners and employees harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Pact Service, the use of your account by any third party, your violation of these Terms of Service or any violation by you or any third party using your account.

The Pact Service and its content are provided "as is" and "as available" without any warranty or representation of any kind, either express or implied. Pact is a distributor and not a publisher of content provided by third parties; as such, Pact exercises no editorial control over such content and makes no warranty or representation as to the accuracy, reliability or timeliness of any information, content, service or merchandise provided by or accessible through the Pact Service. Without limiting the foregoing, Pact specifically disclaims all warranties and representations in any content transmitted on or in connection with the Pact Service, or on sites that may appear as links on the Pact Service, or in the products provided as part of, or otherwise in connection with, the Pact Service, including, without limitation, any warranties of merchantability, fitness for a particular purpose, or non-infringement of third party rights. No oral directions or written information provided by Pact or any of its affiliates, employees, officers, directors, agents or the like shall create a warranty. Pricing and availability information is subject to change without notice. Without limiting the foregoing, Pact does not warrant that the Pact Service will be uninterrupted, uninterrupted, timely or error-free.

Pact shall not be liable for any indirect, incidental, special, exemplary or consequential damages, lost profits, lost data or business interruption, however arising out of the use or inability to use Pact's Service, whether or not Pact has been advised of the possibility of such damages. You acknowledge and agree that Pact's maximum liability to you shall not exceed the amount you paid to Pact in the sixty (60) days immediately preceding the date you make your first claim.

To the fullest extent permitted by law, these disclaimers and limitations of liability apply to any and all damages or injury caused by or related to the use of or inability to use Pact's Service under any cause of action in any jurisdiction, including, without limitation, actions for breach of warranty, breach of contract or tort (including negligence).

These Terms of Service and any controversy, claim or dispute arising out of or relating to these Terms of Service shall be interpreted, prosecuted and settled in accordance with and governed by the laws of Estonia, without regard to its conflict of law provisions. You irrevocably consent to the exclusive jurisdiction of the courts of Tallinn, Estonia and the federal courts located in Tallinn in connection with any action or dispute arising between the parties under or in connection with these Terms of Service.

If for any reason a court of competent jurisdiction finds any provision or portion of these Terms of Service to be unenforceable, the remainder of these Terms of Service shall continue in full force and effect. Any waiver of any provision of these Terms of Service shall be effective only if in writing and signed by an authorized representative of Pact. Pact shall be entitled to injunctive or other equitable relief (without obligation to provide any bond or warranty) in the event of any breach or anticipated breach by you. Pact operates and controls the Pact Service from its offices in Tallinn, Estonia. The Service is not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Accordingly, persons who choose to access the Pact Service from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable. These Terms of Service (which include and incorporate Pact's Privacy Policy) contain the entire understanding and supersede all prior understandings between you and Pact regarding the subject matter hereof, and may not be amended or modified by you. The section titles used in this Agreement are for convenience only and shall have no legal significance. In case of discrepancies, the English version of the document takes precedence.
